A. Terms of Service
A.1. ACCEPTANCE OF TERMS By accessing or using any service provided by Bezierly, you affirm that you are of legal age to enter into binding contracts, that you have read and understood these Terms, and that you agree to be legally bound by them. If you are acting on behalf of a company or organization, you represent that you have the authority to bind such entity. A.2. SCOPE OF SERVICES Bezierly offers the following professional digital services: • Custom website design and development (static, CMS-based, and web applications) • UI/UX design, wireframing, and prototyping • Brand identity design including logos, style guides, and visual systems • E-commerce development and platform integration (Shopify, WooCommerce, etc.) • Digital strategy, SEO foundations, and performance optimization • Website maintenance, support retainers, and ongoing enhancement packages • Consulting and technical audits for existing digital products The specific scope for each engagement is defined in the individual Project Proposal and Statement of Work (SOW), which forms a binding part of the overall agreement. A.3. ENGAGEMENT & PROJECT PROCESS All projects commence upon receipt of a signed proposal and an initial deposit as outlined in the agreed payment schedule. The project process typically includes the following phases: 1. Discovery & Briefing — Gathering requirements, goals, and scope definition 2. Design Concept — Mood boards, wireframes, and visual direction 3. Design Execution — Full design implementation with client feedback rounds 4. Development — Coding, CMS setup, and functional build 5. Quality Assurance — Cross-browser testing, performance, and device compatibility 6. Client Review & Revisions — Structured rounds as per proposal 7. Final Delivery & Launch — Handover, deployment, and post-launch support window Deviations from the agreed scope will be subject to a formal change order process with associated cost and timeline adjustments. A.4. CLIENT RESPONSIBILITIES The Client agrees to fulfill the following obligations to facilitate timely and high-quality delivery: • Provide all required content (text, images, branding assets) within agreed timelines • Designate a primary point of contact with authority to approve decisions • Provide timely feedback within the review periods specified in the project proposal • Ensure all provided content, trademarks, and materials are legally owned or licensed • Maintain access credentials for platforms, hosting, and third-party services as needed • Respect that delays caused by the Client may result in project timeline adjustments Bezierly reserves the right to pause project work or apply holding fees if a Client fails to provide required materials or feedback for a period exceeding fourteen (14) calendar days. A.5. REVISIONS & CHANGE ORDERS Each project proposal specifies the number of included revision rounds. Revisions are defined as changes to existing approved concepts, not fundamental scope changes. Additional revisions beyond the included rounds are billed at Bezierly's current hourly rate. Scope changes — including new pages, features, or functionality not originally specified — require a written Change Order signed by both parties before work commences. Change orders may impact project timelines and cost. A.6. WARRANTIES & REPRESENTATIONS Bezierly warrants that: • Services will be performed with professional care, skill, and diligence • All deliverables will materially conform to the agreed specifications • Bezierly holds the necessary rights to deliver all work product Bezierly does not warrant that digital products will be error-free in all possible environments or that third-party integrations will remain compatible indefinitely. Bezierly is not responsible for changes made by the Client or third parties after project delivery. A.7. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Bezierly's total cumulative liability arising from or related to any engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim during the twelve (12) months preceding the event. Bezierly shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to: loss of revenue, loss of business, loss of data, loss of goodwill, or business interruption, even if Bezierly has been advised of the possibility of such damages. A.8. TERMINATION Either party may terminate a project engagement by providing written notice. In the event of termination: • The Client shall pay for all work completed up to the date of termination • Deposits are non-refundable as they secure Bezierly's availability and commence work • All completed work product paid for in full shall be delivered to the Client • Work product for which full payment has not been received remains the property of Bezierly Bezierly reserves the right to immediately terminate any engagement if the Client engages in abusive conduct, requests illegal or unethical content, or materially breaches any provision of these Terms. A.9. GOVERNING LAW These Terms of Service shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Bezierly is registered. Any disputes that cannot be resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction. A.10. SECURITY DISCLAIMER & CYBER LIABILITY LIMITATION Important Notice: While Bezierly follows industry best practices when developing websites, web applications, and digital products, no digital system can be guaranteed to be completely secure. Bezierly shall not be held liable for security breaches, unauthorized access, hacking incidents, malware infections, or cyberattacks that occur after the delivery of the project. Clients are responsible for maintaining the ongoing security of their digital assets, including but not limited to server management, software updates, password security, and third-party integrations. Bezierly may provide guidance or maintenance services upon request, but the ultimate responsibility for post-delivery security and system management rests with the Client.
B. Refund & Cancellation Policy
B.1. PAYMENT STRUCTURE Bezierly operates on a milestone-based payment structure as outlined in each project proposal. Standard payment schedules include: • Initial Deposit (typically 30–50%) — Due upon project commencement; non-refundable • Milestone Payments — Due upon approval of specific deliverable milestones • Final Payment — Due prior to delivery of final files and/or website launch Late payments beyond the due date specified in the invoice may attract a late payment fee of 1.5% or more of the outstanding balance per month, or the maximum rate permitted by applicable law, whichever is lower. B.2. NON-REFUNDABLE ITEMS The following are strictly non-refundable under all circumstances: • Initial deposits, which compensate for time allocated, capacity reserved, and discovery work completed • Payments for completed and delivered milestone work that has been approved by the Client • Fees paid for domain registration, hosting setup, or third-party software licenses • Rush fees or expedited processing charges B.3. REFUND ELIGIBILITY A refund or partial credit may be considered only in the following circumstances: • Bezierly fails to commence work within thirty (30) days of receiving the deposit without prior notice or mutual agreement • Bezierly materially fails to deliver agreed work that meets the accepted specifications, and such failure is not remedied within a reasonable cure period of fifteen (15) business days • The project is cancelled by Bezierly without cause Refund requests must be submitted in writing to info@bezierly.com within thirty (30) days of the triggering event. Approved refunds will be processed within twenty-one (21) business days via the original payment method. B.4. CLIENT-INITIATED CANCELLATION If the Client cancels a project in progress: • All work completed up to the cancellation date is billable and payable • The initial deposit is forfeited in its entirety • Any milestone payments already made are non-refundable for approved deliverables • Partially completed work for which full payment has not been received remains the property of Bezierly Bezierly will provide a final invoice detailing all billable work to date. The Client agrees to settle the final invoice within fifteen (15) business days of receipt. B.5. SUBSCRIPTION & RETAINER CANCELLATION For ongoing maintenance retainers or monthly subscription services, either party may cancel by providing thirty (30) days written notice. Cancellation mid-billing-cycle does not entitle the Client to a prorated refund for the current billing period unless otherwise agreed in writing.
C. Intellectual Property Policy
C.1. OWNERSHIP BEFORE FULL PAYMENT All creative work, code, designs, concepts, and deliverables produced by Bezierly remain the exclusive intellectual property of Bezierly until full and final payment has been received. This includes all drafts, intermediate files, visual concepts, and prototypes. C.2. TRANSFER OF OWNERSHIP UPON FULL PAYMENT Upon receipt of full payment as per the agreed project proposal, Bezierly assigns to the Client full ownership rights to the final agreed deliverables, including: • Final website design files (source files in applicable formats) • Compiled website code and associated assets • Logo and brand identity files (vector formats, style guides) • All other deliverables explicitly listed in the project proposal The assignment is limited to the final deliverables and does not include Bezierly's proprietary frameworks, boilerplate libraries, internal tools, or methodologies used during production. C.3. BEZIERLY'S RETAINED RIGHTS Notwithstanding the transfer of deliverables, Bezierly retains the following rights: • The right to display completed projects in its portfolio and case studies • The right to use project details for marketing and business development purposes • Ownership of all proprietary tools, frameworks, and methodologies used in delivery • Copyright in all preliminary concepts and unused design directions Clients wishing to restrict portfolio usage must negotiate a Non-Display Clause as part of the project agreement, which may be subject to an additional fee. C.4. THIRD-PARTY ASSETS & LICENSES Where projects incorporate licensed third-party assets (stock photography, fonts, icon libraries, plugins, or software), the Client is responsible for obtaining and maintaining valid licenses for continued use after project handover unless Bezierly has expressly included such licenses in the project scope. Bezierly warrants that any third-party assets provided as part of the deliverable have been properly licensed for the agreed use case at the time of delivery. However, Bezierly is not liable for any licensing violations that arise after project handover due to Client modification or extended use beyond the original license terms. C.5. CLIENT-PROVIDED CONTENT The Client warrants that all content, images, trademarks, and materials provided to Bezierly for use in the project are legally owned or properly licensed by the Client. The Client indemnifies and holds Bezierly harmless from any claims, losses, or damages arising from intellectual property infringement related to Client-provided content.
