The rules of engagement. These comprehensive terms govern our partnership, outlining mutual expectations, technical liabilities, and service level agreements to ensure a highly professional and secure collaboration.

A. Services Agreement
A.1. ACCEPTANCE OF TERMS & BINDING AGREEMENT By executing a Statement of Work (SOW), paying an initial deposit, or utilizing any services provided by Bezierly ("Agency", "We", "Us"), you ("Client", "You") agree to be legally bound by these Master Terms and Conditions. These terms govern the entirety of the relationship, superseding any prior verbal or written agreements unless explicitly amended in writing and signed by both parties. A.2. SCOPE OF SERVICES Bezierly provides professional digital, automation, AI, and business systems services including, but not limited to: • Conversion-focused website design and development • Lead generation systems and landing page infrastructure • UI/UX design, wireframing, and digital product prototyping • Brand identity and visual systems • E-commerce systems and conversion optimization • WhatsApp automation and conversational workflows • AI lead qualification and automated lead routing systems • Appointment booking and scheduling automation • Follow-up automation systems across email, WhatsApp, and CRM platforms • Cart recovery and customer retention automation • Payment reminder and invoice automation systems • Workflow automation and third-party platform integrations • Custom AI systems and operational automations • Automation audits and efficiency consulting • Inbound and outbound Voice AI systems • Custom AI voice agents and conversational voice workflows • Maintenance retainers, support subscriptions, and optimization services • Technical consulting, audits, and infrastructure planning Services may involve integration with third-party platforms including, but not limited to, WhatsApp Business APIs, OpenAI services, CRMs, payment gateways, voice providers, hosting environments, analytics tools, and automation platforms. The specific deliverables, timelines, features, limitations, and support scope for each engagement shall be defined in the applicable Project Proposal, Scope of Work (SOW), Service Agreement, or Retainer Agreement. A.3. ENGAGEMENT & PROJECT PROCESS All projects commence upon receipt of a signed proposal and an initial deposit as outlined in the agreed payment schedule. The project process typically includes Discovery, Design & Architecture, Execution & Build, Quality Assurance, Client Review, and Final Handover. Deviations from the agreed scope will be subject to a formal Change Order process with associated cost and timeline adjustments. A.4. CLIENT RESPONSIBILITIES & PROJECT DILIGENCE The Client agrees to fulfill the following obligations to facilitate timely delivery: • Provide requested administrative access, API keys, software licenses, and operational data within agreed timelines. • Designate a single authorized decision-maker to provide consolidated feedback within stipulated review windows. • Maintain active accounts and billing for any required third-party software. Delays caused by the Client failing to provide required materials or feedback may result in project timeline adjustments, pause holding fees, or project dormancy status. A.5. REVISIONS & CHANGE ORDERS Revisions are defined as changes to existing approved concepts or minor tweaks to automation workflows, not fundamental scope changes. Scope changes—including new pages, distinct workflow branches, or new software integrations not originally specified—require a written Change Order signed by both parties before work commences. A.6. WARRANTIES & REPRESENTATIONS Bezierly warrants that services will be performed with professional care, skill, and diligence, and will materially conform to the agreed specifications. Bezierly does not warrant that digital products will be error-free in all possible environments or that third-party integrations will remain compatible indefinitely. A.7. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Bezierly's total cumulative liability arising from or related to any engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim during the twelve (12) months preceding the event. Bezierly shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of revenue or data. A.8. TERMINATION Either party may terminate an ongoing standard project prior to completion by issuing a 15-day written notice. Upon termination, all work completed is immediately billable. Unpaid, partially completed technical architecture and code remain the sole property of Bezierly. A.9. GOVERNING LAW These Terms of Service shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Bezierly is registered. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction. A.10. SECURITY DISCLAIMER & CYBER LIABILITY LIMITATION Important Notice: While Bezierly follows industry best practices when developing systems, no digital environment can be guaranteed to be completely secure. Bezierly shall not be held liable for security breaches, unauthorized access, hacking incidents, or cyberattacks that occur after the delivery of the project. Clients are responsible for maintaining the ongoing security of their digital assets, including password security, API key management, and server administration. A.11. AI & AUTOMATION DISCLAIMER Bezierly develops automation systems, AI workflows, and AI-powered communication tools intended to improve operational efficiency and lead management. However, the Client acknowledges and agrees that: • AI systems may occasionally produce inaccurate, incomplete, delayed, or unintended outputs • Automated systems depend on third-party platforms, APIs, and external services outside Bezierly’s control • Delivery rates, response accuracy, message deliverability, and platform uptime cannot be guaranteed • AI-generated responses should be reviewed periodically by the Client for quality assurance • Bezierly is not responsible for revenue loss, missed leads, incorrect AI outputs, scheduling conflicts, or communication failures caused by third-party outages or platform limitations • Changes to third-party platform policies, APIs, pricing, or functionality may affect system performance after deployment The Client is solely responsible for reviewing, approving, monitoring, and legally complying with all automated communication workflows, customer messaging, data handling practices, and AI-generated interactions used within their business operations. A.12. MAINTENANCE, SUPPORT & SYSTEM MONITORING Unless explicitly included within a signed maintenance or retainer agreement, Bezierly is not obligated to provide ongoing maintenance, monitoring, updates, troubleshooting, or technical support after project delivery. For Clients enrolled in maintenance or support plans, services may include: • System monitoring and uptime checks • Automation workflow maintenance • API connection troubleshooting • CMS, plugin, and dependency updates • Minor content or configuration changes • AI workflow optimization • Performance monitoring and issue resolution • Technical support within agreed service hours Maintenance services do not include: • Major feature development • Full redesigns • Third-party platform outages • Emergency cybersecurity recovery • Rebuilding systems altered by unauthorized third parties Bezierly shall not be held liable for downtime, automation interruptions, API failures, or operational disruptions caused by: • Third-party services or providers • Hosting/server failures • Expired subscriptions or API credits • Platform policy changes • Client-side modifications • Unauthorized access or credential misuse Support response times, availability, and scope shall be governed by the applicable maintenance or retainer agreement. A.13. PERFORMANCE & RESULTS DISCLAIMER Bezierly designs systems, websites, automations, and marketing infrastructure intended to improve operational efficiency, lead handling, and conversion performance. However, Bezierly does not guarantee specific business outcomes including, but not limited to: • Revenue increases • Lead generation volume • Conversion rates • Advertising performance • Search engine rankings • Sales outcomes • Customer retention metrics Business performance depends on numerous factors outside Bezierly’s control, including market conditions, offer quality, advertising strategy, competition, operational execution, pricing, and customer behavior. Any projections, estimates, audits, recommendations, or performance discussions provided by Bezierly are informational in nature and shall not be interpreted as guarantees or warranties of future results. A.14. DATA PRIVACY, COMMUNICATIONS & COMPLIANCE The Client is solely responsible for ensuring that all customer communications, automated messaging workflows, AI interactions, voice calls, lead collection systems, and data processing activities comply with all applicable laws, regulations, and platform policies. This includes, but is not limited to: • Consent requirements for messaging and calls • Data privacy and customer data handling obligations • WhatsApp Business platform policies • Email marketing regulations • Recording disclosure requirements for voice systems • Regional consumer protection laws Bezierly acts solely as a technical service provider and does not provide legal compliance advice unless explicitly stated in writing. The Client agrees to indemnify and hold harmless Bezierly from claims, penalties, fines, disputes, or liabilities arising from unlawful or unauthorized communication practices implemented by the Client.
B. Financial Policies & Cancellations
B.1. REMUNERATION & DISBURSEMENTS Bezierly operates on a strict milestone-based or retainer-based financial model. • Initial Retainer/Deposit: A non-refundable commencement deposit (typically 50% of total project value) is strictly required to secure production capacity, cover initial architectural discovery, and allocate engineering resources. • Progress Disbursements: Subsequent payments are tied to deliverable milestones outlined in the SOW. • Default & Suspension: Invoices are net-7 days unless otherwise stated. Accounts in arrears beyond 7 days will result in an immediate suspension of all active systems, automations, and development work. Late payments are subject to a cumulative penalty of 2% per month. B.2. NON-REFUNDABLE ASSETS Under no circumstances shall the following be eligible for refund or credit: • Initial commencement deposits. • Fees allocated toward third-party software, API credits, domain acquisition, or server infrastructure. • Payments made for approved, delivered, or partially completed milestones. • Active monthly maintenance retainers where services have already commenced for the billing cycle. B.3. TERMINATION FOR CONVENIENCE Either party may terminate an ongoing standard project prior to completion by issuing a 15-day written notice. Upon Client-initiated termination: • All engineering and strategic hours logged up to the termination date will become immediately billable. • If the billed hours exceed the deposits paid, the Client must settle the remaining balance within five (5) business days. • Unpaid, partially completed technical architecture and code remain the sole property of Bezierly. B.4. SUBSCRIPTION & RETAINER CANCELLATION For ongoing "Business Automation Systems," "AI Maintenance Retainers," or SaaS-like subscriptions, the Client must provide a mandatory thirty (30) days written notice of cancellation prior to the next billing cycle. No prorated refunds will be issued for mid-cycle cancellations.
C. Intellectual Property & Data Governance
C.1. BACKGROUND IP & PROPRIETARY METHODOLOGIES Bezierly retains absolute, sole ownership of all pre-existing intellectual property used to execute the project. This "Background IP" includes, but is not limited to: proprietary code boilerplates, automation blueprints, Zapier/Make workflow structures, specialized AI prompt architectures, and internal deployment frameworks. C.2. TRANSFER OF DELIVERABLES Upon realization of full and final payment, Bezierly grants the Client an exclusive, perpetual, royalty-free license to use the final deployed deliverables for their intended business purpose. This includes: • The finalized front-end UI/UX designs and published website code. • The explicit workflow configurations installed in the Client’s respective third-party accounts. • Brand identity assets expressly generated for the Client. This license strictly prohibits the Client from reselling, white-labeling, or commercially distributing Bezierly’s underlying automation logic or AI architectures to third parties without a separate commercial licensing agreement. C.3. RIGHT OF PUBLICITY & PORTFOLIO INCLUSION Unless a separate Non-Disclosure Agreement (NDA) or "White-Label Clause" is negotiated and monetized prior to project commencement, Bezierly unconditionally reserves the right to showcase the finalized project, high-level workflow diagrams, performance metrics, and aesthetic designs within its corporate portfolio, case studies, and marketing collateral. C.4. DATA SECURITY & INDEMNIFICATION While Bezierly engineers systems adhering to modern security standards, the Client acknowledges that no digital infrastructure is entirely immune to breach. • Bezierly shall not be held liable for data leaks, unauthorized access, or malicious exploitation originating from compromised Client credentials, third-party software vulnerabilities, or unpatched servers post-handover. • The Client agrees to fully indemnify, defend, and hold Bezierly harmless against any claims, losses, or legal actions resulting from the Client's misuse of the delivered automations, intellectual property infringement regarding Client-provided content, or violations of telecommunications laws (e.g., spamming via WhatsApp automation).
